Terms & Conditions

Introduction

These Terms & Conditions govern access to and use of BEAT™, a Growth Intelligence platform operated by KARYENDA SRL, a company incorporated under Belgian law, and made available at beatsignals.com.

By creating an account, accessing the platform, purchasing a subscription, or using any BEAT™ service, you agree to be bound by these Terms & Conditions.

If you do not agree with these Terms, you must not access or use the platform.

Description of Services

BEAT™ is a Growth Intelligence platform designed to help organizations identify growth constraints, conversion friction, visibility challenges, operational inefficiencies, and revenue opportunities.

Depending on the subscription plan, BEAT™ may include:

Public Signals
Executive Briefings
BEAT Growth Index™
BEAT Chat
Intelligence Lenses
Interactive Labs
Competitive benchmarking and tracked-competitor intelligence
Analysis History
Team collaboration and multi-workspace membership
Connected Intelligence (Google Analytics 4, Search Console, Google Ads, Meta Ads, Meta organic social — Facebook Pages and Instagram — and future connectors)
Future analytical modules released by KARYENDA

Features may evolve over time as the platform develops.

Subscription Plans

Access to certain features requires an active subscription. The scope of each plan may evolve over time.

BEAT Growth: Free access to selected intelligence features, including Public Signals and the diagnostic layer of the Executive Briefing.
BEAT Intelligence: Access to the briefing prescription layer (strategic roadmap and prioritised actions), briefing history, and BEAT Chat.
BEAT Specialist: Access to Intelligence Lenses, Interactive Labs, team collaboration, and advanced analytical capabilities.
BEAT Connect: Access to Connected Intelligence functionality and supported third-party data sources, such as Google Analytics 4 and Search Console.

KARYENDA may offer time-limited trials granting temporary access to higher-tier features. Trial access ends automatically at the end of the trial period and does not create any payment obligation unless a paid subscription is purchased.

Billing & Payment

Paid subscriptions are billed in advance on a recurring basis.

Unless otherwise stated:

Subscriptions renew automatically
Payment is processed through authorized payment providers
Applicable taxes may be added where required by law
Users are responsible for maintaining valid payment information

Failure to maintain valid payment information may result in suspension or termination of access.

Cancellation

Users may cancel their subscription at any time.

Cancellation prevents future renewals but does not automatically generate refunds for the current billing period.

Access remains available until the end of the paid subscription term, unless access is suspended or terminated due to breach of these Terms.

Refund Policy

Unless otherwise required by applicable law, subscription fees are non-refundable.

KARYENDA may, at its sole discretion, review exceptional refund requests on a case-by-case basis.

User Accounts & Workspaces

Users are responsible for:

Maintaining the confidentiality of their login credentials
Activities occurring under their account
Ensuring information provided to BEAT™ remains accurate
Members they invite to their workspaces and the roles and permissions granted to those members

Users must not:

Share accounts with unauthorized third parties
Attempt to gain unauthorized access to the platform or to other workspaces
Interfere with platform operations
Use BEAT™ in a manner that violates applicable law

Connected Data Sources

Certain BEAT™ features may rely on third-party data sources, APIs, connectors, or integrations — including Google Analytics 4, Google Search Console, and Google Ads connected through Google’s OAuth consent flow, and Meta advertising (Meta Ads) and organic social channels (Facebook Pages, Instagram) connected through Meta’s login.

Users remain responsible for:

Ensuring they have the right to connect such sources
Authorizing access to those systems
Maintaining the validity of connected credentials
Ensuring connected data does not violate third-party rights or contractual obligations

Connected data is accessed read-only. Google data is handled in accordance with the Google User Data section of our Privacy Policy (including the Google API Services User Data Policy Limited Use requirements), and Meta data in accordance with the Meta Platform Data section (including the Meta Platform Terms and Developer Policies). Users may disconnect a data source at any time, after which the associated stored data is deleted.

KARYENDA does not guarantee uninterrupted availability of third-party services or connected data sources, which remain subject to the terms of their respective providers.

Analytical Outputs

BEAT™ generates analytical outputs based on public signals, declared information, connected data sources, enrichment data, probabilistic analysis models, and AI-assisted interpretation systems.

All outputs are informational in nature.

BEAT™ outputs:

Are not audits
Are not certifications
Are not legal advice
Are not accounting advice
Are not financial advice
Are not management consulting advice unless explicitly agreed in writing

Outputs may include hypotheses, assumptions, signal interpretations, risk indicators, scores, benchmarks, and recommendations.

These outputs should be interpreted as decision-support material rather than objective statements of fact or guaranteed business diagnoses.

No Guarantee of Results

KARYENDA does not guarantee:

Revenue growth
Increased conversions
Improved profitability
Improved search visibility
Operational improvements
Commercial outcomes of any kind

Business results depend on factors beyond the scope and control of BEAT™.

Artificial Intelligence & Automation

Certain BEAT™ services may rely on artificial intelligence, machine learning, automation, scoring systems, and probabilistic analytical models.

While KARYENDA seeks to provide useful and accurate outputs, no AI-based or automated analytical system can guarantee complete accuracy, completeness, or suitability for every business context.

Users remain responsible for validating important decisions independently.

Intellectual Property

All rights relating to KARYENDA, BEAT™, Intelligence Lenses, Interactive Labs, Executive Briefings, BEAT Growth Index™, Signal Studies, methodologies, frameworks, scoring systems, benchmark models, signal libraries, prompt architectures, analytical outputs, visual designs, and platform content remain the exclusive property of KARYENDA.

Nothing in these Terms transfers ownership of any intellectual property to users.

Prohibited Uses

Users may not:

Reverse engineer the platform
Reproduce BEAT™ methodologies
Build competing products using BEAT™ outputs
Scrape platform content at scale
Use platform outputs to train AI systems
Redistribute analytical outputs commercially without authorization
Attempt to bypass subscription gates, access controls, or usage limitations

Platform Availability

KARYENDA aims to provide reliable platform access but does not guarantee uninterrupted availability.

The platform may occasionally experience:

Maintenance periods
Software updates
Third-party outages
Temporary interruptions
Network, infrastructure, authentication, or connector-related issues

Service availability is provided on a reasonable efforts basis.

Limitation of Liability

To the maximum extent permitted under Belgian law, KARYENDA shall not be liable for:

Indirect damages
Consequential damages
Loss of profit
Loss of revenue
Loss of business opportunity
Loss of goodwill
Loss of data
Business decisions based on BEAT™ outputs

The total liability of KARYENDA arising from any claim related to BEAT™ shall not exceed the amount paid by the customer during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under Belgian law.

Modifications

KARYENDA may update these Terms & Conditions from time to time.

Material changes will be communicated through appropriate channels.

Continued use of the platform following such updates constitutes acceptance of the revised Terms.

Governing Law

These Terms & Conditions are governed by Belgian law.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
